* Use any material or information, including images or photographs, which is made available through the GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Sites/Services in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.
* Upload files that contain viruses, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another.

* Download any file posted by another user of a Communication Service that you know, or reasonably should know, cannot be legally distributed in such manner.

* Violate any code of conduct or other guidelines which may be applicable for any particular Communication Service.

* Create a false identity for the purpose of misleading others.

STORAGE SPACE AND OTHER LIMITATIONS
You agree that GLOBAL MEDICAL EDUCATION ONLINE PTY LTD may establish limits concerning use of any GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Service offered on a GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Web Site, including without limitation the maximum number of days that messages will be retained by any GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Service, the maximum disk space that will be allotted on GLOBAL MEDICAL EDUCATION ONLINE PTY LTD's servers on your behalf, and the maximum number of times and duration you may access any GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Service in a given period of time.

TERMINATION/ACCESS RESTRICTION/VIDEO CD-ROMs
GLOBAL MEDICAL EDUCATION ONLINE PTY LTD reserves the right, in its sole discretion, to terminate your access to any or all GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Sites/Services and the related services or any portion thereof at any time, without notice. The amount of funds to be refunded, if any, is at the sole discretion of GLOBAL MEDICAL EDUCATION ONLINE PTY LTD GLOBAL MEDICAL EDUCATION ONLINE PTY LTD shall have no obligation to maintain any content or to forward any unread or unsent messages to you or any third party.
GLOBAL MEDICAL EDUCATION ONLINE PTY LTD's online programs are 12 months long with the first day defined as the day of registration and months calculated as calendar months. When you login you will be provided information regarding the status of your account. Unless you renew your account, after the 6 month period access to the relevant GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Site(s)/Service(s) is terminated.
Use of any materials produced by GLOBAL MEDICAL EDUCATION ONLINE PTY LTD is designed to be in conjunction with GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Site(s)/Service(s) and thus online access is required.
NO SPAM; DAMAGES
GLOBAL MEDICAL EDUCATION ONLINE PTY LTD will immediately terminate any account which it believes, in its sole discretion, is transmitting or is otherwise connected with any spam or other unsolicited bulk email. In addition, because damages are often difficult to quantify, if actual damages cannot be reasonably calculated then you agree to pay GLOBAL MEDICAL EDUCATION ONLINE PTY LTD liquidated damages of $10 US for each piece of spam or unsolicited bulk email transmitted from or otherwise connected with your account, otherwise you agree to pay GLOBAL MEDICAL EDUCATION ONLINE PTY LTD's actual damages, to the extent such actual damages can be reasonably calculated.
GENERAL
This agreement is governed by the laws of the Province of Quebec, Canada. You hereby irrevocably consent to the exclusive jurisdiction and venue of courts in Montreal, Quebec, Canada in all disputes arising out of or relating to the use of the GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Sites/Services. You agree that no joint venture, partnership, employment, or agency relationship exists between you and GLOBAL MEDICAL EDUCATION ONLINE PTY LTD as a result of this agreement or use of the GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Sites/Services. You agree to indemnify and hold GLOBAL MEDICAL EDUCATION ONLINE PTY LTD, its parents, subsidiaries, affiliates, officers and employees, harmless from any claim, demand, or damage, including reasonable attorneys' fees, asserted by any third party due to or arising out of your use of or conduct on the GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Sites/Services. GLOBAL MEDICAL EDUCATION ONLINE PTY LTD reserves the right to disclose any personal information about you or your use of the GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Sites/Services, including its contents, without your prior permission if GLOBAL MEDICAL EDUCATION ONLINE PTY LTD has a good faith belief that such action is necessary to: (1) conform to legal requirements or comply with legal process; (2) protect and defend the rights or property of GLOBAL MEDICAL EDUCATION ONLINE PTY LTD or its affiliated companies; (3) enforce the terms or use; or (4) act to protect the interests of its members or others. GLOBAL MEDICAL EDUCATION ONLINE PTY LTD's performance of this agreement is subject to existing laws and legal process, and nothing contained in this agreement is in derogation of GLOBAL MEDICAL EDUCATION ONLINE PTY LTD's right to comply with governmental, court and law enforcement requests or requirements relating to your use of the GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Sites/Services or information provided to or gathered by GLOBAL MEDICAL EDUCATION ONLINE PTY LTD with respect to such use. If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and GLOBAL MEDICAL EDUCATION ONLINE PTY LTD with respect to the GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Sites/Services and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between the user and GLOBAL MEDICAL EDUCATION ONLINE PTY LTD with respect to the GLOBAL MEDICAL EDUCATION ONLINE PTY LTD Sites/Services. A printed version of this agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

FEES,PAYMENT
GLOBAL MEDICAL EDUCATION ONLINE PTY LTD reserves the right to alter any and all fees from time to time, without notice. Check the Fee Schedule for any updated fee information each time you use the Services.
You shall be completely responsible for all charges, fees, duties, taxes, and assessments arising out of the use of the Services. Refunds are not available. If for any reason you are not satisfied with your results, your sole remedy is to repeat the course once for an administrative fee. Of course, you will not receive a second set of any course hardcopy materials initially given you but you will receive access to the Student Education Portal.
